Partnership Terms

Connext Partnership Terms

Article 1 (Purpose)

These Terms set out the rights, obligations and responsibilities of the Company and the Partner, and other necessary matters, in relation to the Connext Partnership Program (the "Program") operated by the Company.

Article 2 (Definitions)

The terms used in these Terms are defined as follows.

  1. "Company" means GENIEIN Co., Ltd., the operator of Connext. Depending on the Partner's country, the Company may enter into the Partnership Agreement and pay rewards through its overseas subsidiary.
  2. "Partner" means a business that has agreed to these Terms, applied for the Program and entered into a Partnership Agreement with the Company.
  3. "Partnership Agreement" means the memorandum of understanding (MOU) or partnership agreement entered into between the Company and the applicant under Article 4.
  4. "Partner Code" and "Referral Link" mean the unique code issued by the Company to the Partner and the sign-up link containing that code.
  5. "Referred Member" means a Connext member credited to the Partner under Article 6.
  6. "Eligible Payment" means the amount a Referred Member actually pays the Company for GNOM Estimator and GNOM Studio, excluding value-added tax and other taxes, and after deducting refunds, cancellations and chargebacks. The amounts shown on the partner dashboard are based on this amount.
  7. "Reward Period" means, for each Referred Member, the 12 months from the date that member signed up.

Terms not defined in these Terms follow the Connext Terms of Service and applicable laws.

Article 3 (Application and Amendment of These Terms)

  1. The Partner agrees to these Terms by ticking the agreement box on the Program application form and submitting the application.
  2. The Connext Terms of Service also apply to the Partner's use of Connext. Where the two conflict on a Program matter, these Terms prevail.
  3. Where the Partnership Agreement provides otherwise than these Terms, the Partnership Agreement prevails.
  4. The Company may amend these Terms. The Company will notify the Partner by email or on the partner dashboard at least 30 days before the effective date, stating the effective date and the reason for the amendment.
  5. A change to the reward rate or the Reward Period does not apply to Referred Members credited to the Partner before the change, unless the Partner agrees.

Article 4 (Application and Partnership Agreement)

  1. Only registered businesses may apply for the Program.
  2. Applicants apply using the form set by the Company, providing required information such as business name, country, business registration number and contact email.
  3. The Company reviews every application and decides whether to approve it. The Company is not obliged to give reasons for declining an application.
  4. The Company enters into a Partnership Agreement with the applicant before approving the application, and notifies the applicant by email when it approves the application. The Partnership Agreement takes effect on the date stated in it (the "Effective Date").
  5. After the Partnership Agreement is signed, the Company issues a Partner Code and Referral Link. They may be used only by the Partner and may not be transferred, lent or sold to any third party.

Article 5 (Term)

The term of the Partnership Agreement (the "Term") is 12 months from the Effective Date.

Article 6 (Referred Members)

  1. A member whose sign-up during the Term includes the Partner Code is recognised as that Partner's Referred Member. When a member signs up through the Referral Link, the Partner Code is entered automatically.
  2. A member is not recognised as a Referred Member in any of the following cases:
    1. The member already had a Connext account before using the Partner's Referral Link or Partner Code.
    2. The member is the Partner, or a business the Partner owns or controls.
    3. The member signed up through another partner's Referral Link or Partner Code.
  3. Each member is credited to one Partner only, as determined by the Company's records.
  4. There is no limit on the number of members a Partner may refer.

Article 7 (Rewards)

  1. The Company pays the Partner a reward of 10% of the Eligible Payments each Referred Member makes during its Reward Period.
  2. Free credits, promotional credits, and payments made after a Referred Member's Reward Period ends are not included.

Article 8 (Calculation and Payment)

  1. Rewards are calculated per calendar month, and each month's reward amount and payment status are shown on the partner dashboard.
  2. The Company pays each month's reward on the last day of the following month (or the preceding business day if that day is a holiday) to the bank account registered by the Partner.
  3. Rewards are paid in the local currency of the entity that entered into the Partnership Agreement.
  4. If a payment is refunded, cancelled or charged back after the related reward has been paid, the Company deducts that reward from the next payment. If there is no further payment to deduct from, the Partner must return the amount at the Company's request.

Article 9 (Taxes and Supporting Documents)

  1. Taxes on rewards are borne by the Partner. However, where the Company is required by law to withhold tax, the Company pays the reward net of that tax.
  2. Where an invoice or other supporting document is required to pay a reward, the Company may request it from the Partner and may withhold payment until it is received.

Article 10 (Obligations of the Partner)

The Partner shall not engage in any of the following in connection with the Program:

  1. Describing Connext's features, prices or results inaccurately, or promising results the Company does not provide
  2. Presenting itself as the Company or as an employee or agent of the Company
  3. Distributing the Referral Link in breach of applicable laws, such as sending advertising messages without the recipient's consent
  4. Bidding on "Connext", "GNOM" or similar keywords in paid search advertising
  5. Offering Referred Members a share of the reward, cash back or discounts without the Company's prior written consent

Article 11 (Use of Trademarks)

  1. During the Term, the Partner may use the Connext and GNOM names and logos only for referrals under these Terms, and only in the form provided by the Company.
  2. The Partner shall not use the Connext or GNOM names or logos in its business name, domain names or social media account names, or register any identical or similar mark.

Article 12 (Protection of Information)

  1. The Partner shall use information about Referred Members shown on the partner dashboard, such as business names and payment periods, only to check its rewards, and shall not provide or disclose it to any third party.
  2. The Company processes the information in the application to review the application, operate the Program and pay rewards, in accordance with the Privacy Policy.

Article 13 (Termination and Its Effect)

  1. Either party may terminate the Partnership Agreement by giving the other party 30 days' written notice.
  2. If the Partner breaches these Terms, the Company may suspend the use of the Partner Code and the payment of rewards, or terminate the Partnership Agreement immediately by notice to the Partner.
  3. When the Partnership Agreement ends, the Partner Code and Referral Link cease to be valid and no further Referred Members are recognised.
  4. If the Partnership Agreement ends on expiry of the Term or under paragraph 1, the Company continues to pay rewards for existing Referred Members until each member's Reward Period ends. However, if it is terminated under paragraph 2, reward payments stop from the date of termination.
  5. Rewards arising from a breach of Article 10 are not paid, and if already paid, the Partner must return them.

Article 14 (Relationship of the Parties)

The Partner participates in the Program as an independent business. These Terms and the Partnership Agreement do not make the Partner an employee, agent or legal partner of the Company, and the Partner may not make commitments to third parties on behalf of the Company.

Article 15 (Limitation of Liability)

Where the Company is found liable for damages, the amount is limited to the rewards paid to the Partner in the 12 months before the cause of the claim arose. However, this does not apply to damages caused by the Company's wilful misconduct or gross negligence.

Article 16 (Dispute Resolution and Jurisdiction)

  1. These Terms are governed by the laws of the Republic of Korea.
  2. If a dispute arises in relation to these Terms, the parties shall first seek to resolve it amicably through mutual consultation.
  3. If no agreement is reached, the court having jurisdiction over the Company's principal office has exclusive jurisdiction in the first instance.
